Any access to and/or use of the website (“this Website”) is governed by the terms and conditions of access and/or use as set out below (“Terms & Conditions”). Use of this Website implies your agreement and acceptance of these Terms & Conditions. If you do not accept these Terms & Conditions, please do not proceed any further and leave this Website immediately.

This Website is owned and operated by Village Publishing Limited (Company Registration Number: 12476023) (“the Firm”) whose registered office is situated at 61 Bridge Street, Kington, Herefordshire HR5 3DJ. 

The Firm and the Clients shall herein collectively be referred to as “the Parties”.

1.GENERAL

1.1 This Website is for use by prospective clients and existing clients (“the Client”, “you”, “your”) who wish to use the services of the Firm as detailed on this Website from time to time and as described in paragraph 2.2 below. If the use of this Website is as a result of an agreement between a third party and the Firm, then to the extent that these Terms & Conditions conflict with the terms and conditions of such an agreement, the Terms & Conditions of this Website shall prevail. If the Client does not agree with the applicable Terms & Conditions then the Client is not authorised to use this Website.

1.2 The Firm reserves the right to change these Terms & Conditions at any time without notice by updating this page of this Website. Use of this Website after the Terms & Conditions have been updated constitutes acceptance of the Terms & Conditions as updated.

1.3 This Website and all intellectual property rights contained therein, including, but not limited to, any copyright, trade marks and registered designs (including the right to register any such rights) are the property of the Firm save in respect of the intellectual property rights belonging to any licensor, advertisers, partners, investors or sponsors of this Website.

1.4 Whilst this Website may be accessible from various parts of the world, the Services detailed on this Website are limited to the United Kingdom only, unless otherwise agreed.

2.ACCESS TO AND/OR USE OF WEBSITE BY CLIENTS

2.1 This Website constitutes an invitation to treat. By using this Website, the Client accepts these Terms & Conditions, as well as the terms of the Firm’s Privacy Policy.

2.2 The Firm provides publishing and marketing services to Clients specific to the laws of the United Kingdom (“the Services”). The Firm intends to provide a range of other services, details of which can be found on this Website from time to time.

2.3 The use of this Website by the Client is free of charge, subject to these Terms & Conditions.

2.4 The Client may use the Services by submitting an enquiry to the Firm for the use of the Services (“Enquiry”). By submitting an Enquiry to the Firm, you confirm your consent for the Firm to enter and store your details in the Firm’s database.

2.5 When submitting an Enquiry, you will be required to provide the following details: 

2.5.1 Your name;

2.5.2 Your e-mail address;

2.5.3 Your contact telephone number; and

2.5.4 The nature of your enquiry.

2.7 The Firn reserves the right to refuse any Client information from being added to the Firm’s database and/or to remove any Client information contained in an Enquiry from our database at any time. The decision of the Firm in this regard will be final and binding.

2.8 This Website and the content of this Website is the copyright of the Firm. Save as provided for below, any reproduction of part of or all of the content of this Website is prohibited: 

2.8.1 The Client may download content of this Website to a local hard disk for personal use; or

2.8.2 The Client may print extracts from this Website for your personal use. 

2.9 For the avoidance of doubt, the Client may not distribute or copy any part of this Website for any commercial purpose. 

3.THE CLIENT’S OBLIGATION

3.1 Each Client accessing and/or using this Website warrants that any Client information provided is true and accurate to the best of the Client’s knowledge. A Client will never be asked by the Firm to provide sensitive information such as banking details, PIN number or sensitive medical information when accessing and/or using this Website.

3.2 By using the Services offered through this Website, the Client grants consent to the Firm, our employees or agents to access the Client’s personal records where required by the Firm in the performance of the Services.

3.3 The Client shall immediately inform the Firm of any changes to the factual information provided in the Enquiry.

3.4 The Client agrees to indemnify and keep fully indemnified the Firm against any and all loss or damage of any kind suffered by the Firm as a result of the Client’s use of the Services and this Website or any breach or non-observance of these Terms & Conditions.

4. THE FIRM’S OBLIGATIONS

4.1 The Firm is responsible for providing the Services to the Client with care and professionalism.

4.2 The Firm shall use its reasonable endeavours to carry out the provision of the Services. For the avoidance of doubt, the Firm may pass details of the Client to our employees or agents as the Firm sees fit.

4.3 For the avoidance of doubt, the Firm shall have the right to withhold the provision of the Services until such time that the Firm is instructed by the Client. Upon the Firm’s instruction by the Client, to obtain the provision of the Services the Client shall become subject to the terms of the Firm’s general terms of business, which can be found here: General Terms of Business, and any other necessary agreement entered into between the Firm and the Client from time to time.

4.4 Any changes to these Terms & Conditions shall be communicated to the Client in accordance with paragraph 1.2 above.

4.5 The Firm shall endeavour to establish and maintain reasonable safeguards against the destruction, loss or unauthorised alteration of this Website and shall institute security procedures to restrict unauthorised access to this Website, data and data files, including any back up material.

4.6 The Firm has a zero tolerance policy in respect of bribery and corruption. Accordingly, the Firm is committed to:

4.6.1 Conducting business and carrying out the Services in a manner consistent with applicable laws and the highest ethical standards including, but not limited to, any and all measures intended to prevent bribery and corruption, and

4.6.2 Using our best endeavours to ensure that our employees and agents perform any part of the Services are aware of and share our commitment to conducting business and carrying our the Services ethically. 

4.7 The Firm has in place ongoing professional indemnity insurance cover which is in accordance with compulsory requirements. 

5.WEBSITE CONTENTS, FUNCTIONALITY AND WARRANTIES

5.1 The Firm shall not be under any duty to place information on this Website, nor to update or correct any such information. The Firm may in its absolute discretion edit, amend or remove any information placed on this Website at any time and without notice, including the appearance, style, look and feel, content and functionality of this Website at any time. 

5.2 The Firm does not warrant or offer any assurances that this Website is compatible with a Client’s computer equipment or the network through which a Client accesses and/or uses this Website.

5.3 Whilst the Firm shall use its reasonable endeavours to ensure that this Website is functioning at all material times, the Firm does not warrant that this Website will be fully functional at all times. The Firm reserves the right to suspend, restrict, or terminate this Website service without offering a reason.

5.4 Whilst the Firm intends to display accurate information on this Website, the Firm neither makes nor gives any representations or warranties, express or implied, about this Website or any material, information or hypertext links on this Website, including, but not limited to accuracy, completeness, legality, suitability for purpose, functionality, reliability, availability, speed of access or timeliness. The Firm is not entering into any express or implied conditions, warranties, terms and conditions or representations about the content of this Website or the accuracy or completeness of this Website and accepts no responsibility for loss which may arise from reliance by a Client on such content. For the avoidance of doubt, the content of this Website is of general interest and is not intended to apply to a Client’s specific circumstances. The content of this Website should not be regarded as constituting legal advice and a Client should not rely on this Website as such. 

5.5 The Firm neither makes nor gives any representations or warranties, express or implied, about the availability of the Services. The Firm does not accept any liability whatsoever for any acts or omissions of any third party and furthermore, the Firm shall not be held responsible in anyway whatsoever for the performance and/or conduct of any third party. The Client further agrees that the continuing use of this Website and the Services by the Client amounts to acceptance and agreement of this paragraph 5.5.

5.6 This Website may provide links to other third party sites on the Internet from time to time. These sites may contain information or material that some people may find inappropriate, offensive or irrelevant. These third party sites are not under the control of the Firm, and by continuing to use this Website you acknowledge that the Firm is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites. The inclusion of such a link does not imply endorsement of the site by the Firm or any association with the Firm.

5.7 If sections of this Website contain information submitted to the Firm by third parties, the Firm shall not be held liable for any error, omission or inaccuracy in such material or submissions and reserves the right at our absolute discretion to omit, suspend or change any material or information submitted without giving notice.

6. LIMITATION OF LIABILITY

6.1 Nothing in these Terms & Conditions shall exclude or in any way limit the Firm’s liability for fraud, for death or personal injury caused by the Firm’s negligence, or any other liability to the extent such liability may not be excluded or limited as a matter of law: 

6.1.1 The Firm’s maximum aggregate liability under or in connection with these Terms & Conditions, whether in contract, tort (including negligence) or otherwise, will in no circumstances exceed the value of any fees paid to the Firm by the Client; and

6.1.2 The Firm will not be liable to the Client under these Terms & Conditions for any loss of actual or anticipated income or profits, loss of contracts or for any special, indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise, whether or not such loss or damage is foreseeable, foreseen or known. 

7.DATA PROTECTION

7.1 Subject to paragraph 3.2 above, the use of the Client’s information is governed by the Firm’s Privacy Policy.

7.2 Cookies are used on this Website as described in the Privacy Policy.

8.ENTIRE AGREEMENT AND SEVERABILITY 

8.1 These Terms & Conditions constitute the entire understanding between the Parties with respect to the subject matter of this Website and supersede all prior terms and agreements between the Parties relating to it.

8.2 If any paragraph of these Terms & Conditions is held invalid or unenforceable, the paragraph shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the Parties, and the remaining paragraphs shall remain in full force and effect.

9.NOTICES

9.1 Any notice to be served under these Terms & Conditions shall be in writing and served upon the other Party at its address, in the case of the Firm as set out above, and in the case of the Client as provided with an Enquiry, either by hand or by first class pre-paid post and shall be deemed served 48 hours after posting if sent by post, or on delivery if delivered by hand.

10.LAW AND JURISDICTION

10.1 These Terms & Conditions shall be governed by the law of England and Wales and the Parties hereto submit to the exclusive jurisdiction of the English courts.

11.ACCEPTANCE

11.1 The Client acknowledges that they have read and accept these Terms & Conditions for access to and/or use of this Website.
